Restaurant Terms
Version 3 · Effective 2026-10-12
Restaurant Terms
Effective date: 12 October 2026
1. Who these Terms are between
These Restaurant Terms are an agreement between PrepStak Technologies Limited, a company incorporated in Uganda under registration number 80042719963846 (called “PrepStak,” “we,” or “us”), and the restaurant business identified in the PrepOrder organization account that accepts these Terms (called the “Restaurant” or “you”).
PrepStak’s registered office and address for service are:
Dubai, Makindye II, Makindye Division, Kampala, Uganda
You can contact PrepStak at +256 709 802 259 or customer@prepiq.net.
The person accepting these Terms for a Restaurant confirms that they are authorised to represent that business and agree to these Terms on its behalf. These Terms apply to the Restaurant organization and the branches it manages through PrepOrder. The Restaurant is responsible for ensuring that its owners, managers and staff who receive access follow these Terms.
2. PrepOrder and the Restaurant’s role
PrepOrder is a marketplace and set of digital tools operated by PrepStak. It helps customers discover restaurants and menus, submit orders, make payments using available payment methods, and receive order updates. It also gives Restaurants tools to publish business information, manage menus and availability, receive and respond to orders, and review certain business information. PrepOrder may connect with other PrepStak products, including PrepIQ, where an integration is enabled for the account.
The Restaurant is an independent food business. It supplies and sells its food directly to the customer. When the Restaurant accepts an order, the food-purchase agreement is between the Restaurant and that customer. The Restaurant is responsible for the food, the accuracy of its listing, its prices, preparation, packaging, collection or delivery, and the other obligations that apply to its sale.
PrepStak operates the platform and may transmit order details, coordinate payment processing, provide customer communications and make platform records available. Those services do not make PrepStak the restaurant, food supplier or owner of the food. PrepOrder does not currently provide its own delivery service. The Restaurant remains responsible for arranging and carrying out delivery when it offers delivery.
These Terms do not create a partnership, joint venture, employment relationship or general agency between PrepStak and the Restaurant. The Restaurant may not represent that it can bind PrepStak, and PrepStak may not represent that it can bind the Restaurant except for the platform and payment functions described in these Terms or an applicable written agreement.
3. Restaurant account, authority and access
The Restaurant must provide accurate information about its legal or trading name, business contact details, branches, operating hours, service areas, licences and other information requested for onboarding or continued operation. Keep this information current and tell PrepStak promptly if a material detail changes, a branch closes, a licence expires, ownership changes or the Restaurant ceases trading.
Only a person with authority for the Restaurant may accept these Terms, manage the organization account, approve commercial terms, add or remove owners, or change payout details. The Restaurant is responsible for the actions taken by users it authorises. Assign access only to staff who need it, use the role and branch controls available in PrepOrder, keep login credentials secure, and promptly remove access when a staff member no longer needs it.
The Restaurant must notify PrepStak promptly if it suspects account misuse, unauthorised access, inaccurate payout instructions or a security incident involving the account. PrepStak may require verification of the business, its representative or payout account before enabling or continuing some features.
4. Licences, lawful operation and responsibility for food
The Restaurant is responsible for holding and maintaining the registrations, permits, licences, approvals and insurance required for its business, premises, employees, food preparation and sales. It must operate in compliance with applicable laws and instructions from competent authorities, including applicable food-safety, public-health, consumer-protection, tax, employment and business-licensing requirements, including the Food and Drugs Act and Public Health Act of Uganda where they apply.
The Restaurant is responsible for the quality, safety, preparation, storage, handling, packaging and timely handover of its food. It must provide truthful and sufficiently clear information about menu items, portion sizes, ingredients, allergens, dietary claims, prices, availability, promotions and any material limits on an offer. It must not list food that it cannot lawfully or safely sell, make claims it cannot substantiate, or use descriptions or images that materially mislead customers.
The Restaurant must take reasonable steps to identify and communicate allergen and dietary information, keep that information updated, and ensure its staff can respond to relevant customer questions. PrepOrder’s search, recommendation or AI-assisted features may display information supplied by the Restaurant or generated from marketplace data. Those features do not replace the Restaurant’s responsibility to confirm the composition and safe preparation of its food.
5. Listings, menus, prices and offers
The Restaurant controls the business and menu information it submits or approves for display, subject to the platform’s reasonable formatting, safety, moderation and technical requirements. Review each branch’s menu, item names and descriptions, prices, options, add-ons, stock status, opening hours, pickup arrangements, delivery availability and delivery fee before making it visible to customers.
A Restaurant must promptly mark an item or branch unavailable when it cannot fulfil orders for it. It must not accept an order for an unavailable item and then charge a customer for an unapproved replacement or additional amount. If a requested item cannot be supplied after an order is submitted, tell the customer through the available order tools and follow the applicable cancellation, substitution and refund process.
The Restaurant is responsible for the terms and accuracy of promotions, discounts, bundles and special offers it creates or approves. It must honour an offer accepted by a customer while that offer is valid, subject to the offer’s disclosed conditions and applicable law. Any campaign funding, discount allocation or special commercial treatment applies only as shown in the relevant offer settings or written commercial agreement.
For electronic offers and orders, the Restaurant must provide the business, product, price, payment, delivery or collection, transaction-record and refund information required by applicable law, including, where applicable, Uganda’s Electronic Transactions Act, 2011. PrepOrder may provide fields and customer-facing displays for that information, but the Restaurant remains responsible for the correctness of the information it supplies and for its own legal obligations as the food seller.
6. Receiving and fulfilling orders
An order shown as submitted is a request awaiting the Restaurant’s response; it is not confirmation that the Restaurant has accepted it. The Restaurant must review incoming orders, accept or reject each order using PrepOrder’s order tools, and do so within the response period shown for that order. The Restaurant should keep its devices and contact details available during its stated operating hours so it can receive order notices.
If the Restaurant does not respond before the displayed deadline, PrepOrder may allow the order to expire or be cancelled and may initiate a reversal or refund of a customer payment. The Restaurant must not treat an expired or cancelled order as permission to prepare or charge for food. If it rejects an order or cannot fulfil an accepted order, it should record the reason accurately and notify the customer promptly.
Once it accepts an order, the Restaurant must prepare the accepted items in accordance with the order details and the time or fulfilment arrangement shown to the customer. It must promptly tell the customer if a material delay, stock problem, branch closure or other event affects fulfilment. A substitution, price change or other material alteration requires the customer’s agreement through an available channel. Keep order records and evidence reasonably needed to answer questions about acceptance, preparation, handover, delivery, cancellation or a complaint.
7. Pickup and Restaurant-arranged delivery
The Restaurant must offer pickup or delivery only at branches and times for which it can reasonably provide that service. For pickup, it is responsible for preparing the order, identifying it correctly, keeping it in an appropriate condition and handing it to the customer or an authorised collector at the stated location and within the communicated collection arrangements.
Where the Restaurant offers delivery, the Restaurant arranges and fulfils the delivery. It is responsible for selecting and managing delivery personnel, supplying accurate delivery information, protecting the order in transit, communicating material delays and handing the order to the correct customer or recipient. PrepOrder does not dispatch its own couriers or guarantee a delivery time. The Restaurant must keep any delivery fee and delivery area it publishes accurate.
The Restaurant must use the order status and communication tools honestly and promptly. Marking an order ready, collected, dispatched, delivered or completed must reflect what actually happened. The Restaurant should retain reasonable records of handover or delivery where available. If the customer cannot be reached, does not attend pickup or gives an incomplete address, the Restaurant should use the available contact and support channels and follow the customer-facing Refunds, Cancellations & Order Issues policy and applicable law.
8. Customer complaints, cancellations and refunds
The Restaurant must respond promptly and in good faith to a customer complaint or a request for information about its food, an accepted order, pickup, delivery or a charge. The Restaurant should provide accurate information to PrepStak when asked to investigate a complaint and cooperate in identifying what happened.
The customer-facing Refunds, Cancellations & Order Issues policy explains the platform’s standard process. It does not remove a Restaurant’s responsibility for an order problem caused by its own act or omission, and it does not reduce a customer’s rights under applicable law. Depending on the case and applicable law, a remedy may involve correcting an order, replacing an item, cancelling an order, issuing a full or partial refund or providing another lawful remedy.
A cancellation, refund, payment reversal or chargeback may change the amount ultimately payable to the Restaurant and the commission associated with an order. PrepOrder’s order and finance records show the applicable adjustments. The Restaurant must not separately collect a second payment for an amount already paid through PrepOrder unless the customer has clearly agreed and the payment is properly recorded.
9. Commission, order accounting and payouts
The commission rate that applies to the Restaurant is the active rate shown for its organization in PrepOrder’s finance information or set out in a commercial agreement accepted by both parties. The platform’s standard fallback rate is 10% where no organization-specific rate or other configured rate applies. An order records the rate applicable when it is placed; a later rate change does not change the rate recorded for an earlier order. PrepStak will give notice of a material change to the rate before it applies to new orders.
Commission is calculated on the amount charged for the food, after applicable order adjustments, and does not include a separately itemised Restaurant delivery fee. A delivery fee collected for a Restaurant is passed through to the Restaurant and is not included in the commission base. Refunds or other adjustments may reduce or reverse the amount recorded for an order.
A successful customer payment is not by itself a completed sale or an immediately available payout. PrepOrder records restaurant earnings when an order is marked completed under the order flow. Completed-order earnings are ordinarily subject to a 24-hour settlement period before they become eligible for a payout batch, unless a different period is communicated for the Restaurant or a lawful review, refund, dispute, suspected fraud or payment-provider issue requires a temporary hold. An eligible balance is not a promise that a transfer has already been initiated or received.
Payouts are made to the payout account registered for the Restaurant, using the payout method available for the account. PrepStak may process a payout through a configured payment provider or an operational payout process. The timing after eligibility depends on the payout schedule, verification requirements, payment provider, banking or mobile-money network, accurate payout details and any review that is reasonably required. The Restaurant must keep its payout details accurate and promptly correct failed or returned payment details. The finance information in PrepOrder shows order earnings, commission, pending balances, eligible balances and recorded payouts.
The Restaurant is responsible for its own taxes, permits, invoices, receipts and other tax obligations arising from its food sales and business. PrepStak is responsible for its own tax obligations on the services and fees it provides. Each party will provide the records or information the other reasonably needs to reconcile a transaction or meet a legal reporting obligation.
10. Customer information and privacy
The Restaurant may receive customer information, such as a name, contact details, delivery address, order details or customer instructions, only to receive, prepare, deliver or hand over an order, respond to the customer, resolve an order issue, and meet a legal obligation. The Restaurant must use that information only for those purposes, protect it against unauthorised access or disclosure, and not use it for independent marketing or another unrelated purpose unless it has a separate lawful basis and has given any required notice or obtained any required consent.
The Restaurant must limit access to customer information to staff who need it for the order, keep it only for as long as reasonably necessary and legally permitted, and securely dispose of copies when no longer needed. It must tell PrepStak promptly about a suspected loss, unauthorised disclosure or misuse of customer information connected with PrepOrder. Each party must comply with its own obligations under Uganda’s Data Protection and Privacy Act, 2019 and other applicable privacy laws. The PrepOrder Privacy Policy describes platform-side processing; it does not replace the Restaurant’s own duties.
11. Restaurant content and platform materials
The Restaurant keeps ownership of its menu, business information, photographs, logos and other content that it owns or is authorised to use. The Restaurant grants PrepStak a non-exclusive, worldwide, royalty-free permission during the period the content is used on PrepOrder to host, store, reproduce, resize, format, display and distribute that content as reasonably needed to operate, maintain, secure and promote the Restaurant’s listings and the PrepOrder marketplace. PrepStak may allow its service providers and enabled PrepStak product integrations to use the content for those purposes. This permission does not transfer ownership of the Restaurant’s content.
The Restaurant confirms that it has the rights and permissions needed to submit its content and grant this permission. It must not upload content that infringes another person’s rights, is unlawful, misleading, confidential without permission, or contains personal information that is not needed for the service. PrepStak may remove or restrict content that it reasonably believes breaches these Terms, applicable law or a third party’s rights.
PrepStak or its licensors own the PrepOrder name, software, platform design, tools, analytics and other platform materials. The Restaurant receives a limited, non-transferable permission to use those materials through its account for managing its PrepOrder participation. The Restaurant must not copy, resell, reverse engineer, misuse or make unauthorised commercial use of them.
12. Platform availability and account restrictions
PrepStak works to keep PrepOrder useful and secure, but does not promise uninterrupted operation or that every feature will always be available. PrepStak may maintain, update, modify or discontinue a feature, integration, payment method or technical component for operational, security, legal or business reasons. Where practical, PrepStak will give notice of a material change that affects the Restaurant.
PrepStak may limit or suspend an account, listing, branch or feature when reasonably necessary to address a suspected legal breach, food-safety concern, fraud, security risk, inaccurate business or payout information, unpaid amount, repeated failure to fulfil accepted orders, misuse of customer information, platform disruption or serious breach of these Terms. Where appropriate, PrepStak will tell the Restaurant the reason and what steps may be taken to restore access. Nothing in this section prevents an urgent restriction needed to protect customers, Restaurants, the platform or compliance with law.
The Restaurant may stop accepting new orders, request removal of a listing or ask to close its account by contacting PrepStak. Before closure, the Restaurant must complete or properly resolve accepted orders, customer complaints, outstanding refunds and other obligations connected with past orders. Any pending balance or payout remains subject to reconciliation, valid adjustments, verification and applicable law.
13. Changes to these Terms
PrepStak may update these Terms to reflect changes to PrepOrder, restaurant operations, payment or payout arrangements, security requirements or applicable law. The displayed effective date identifies the version in force. PrepStak will notify the Restaurant of a material change and, where required, ask an authorised representative to accept the revised Terms before continued participation or new orders under the changed terms.
A change to a commission rate or other commercial amount will apply only from the date stated in the notice or accepted commercial agreement and will not alter an earlier order’s recorded terms. If the Restaurant does not accept a material change, it may stop accepting new orders and request closure, subject to resolving orders and obligations already incurred.
14. Responsibility and legal rights
Each party is responsible for its own statements, acts, omissions and obligations. The Restaurant is responsible for its food business, food sales, listings, employees, preparation and fulfilment. PrepStak is responsible for the platform services it provides. Neither party gives a guarantee on behalf of the other.
Nothing in these Terms excludes or limits a responsibility, liability, remedy or right where applicable law does not permit that exclusion or limitation. If a provision cannot lawfully apply to a particular Restaurant or transaction, it will be applied only to the extent permitted, and the remaining provisions continue to apply.
15. Governing law and contact
These Terms are governed by the laws of Uganda. Any dispute is subject to the jurisdiction of the competent courts of Uganda, subject to any mandatory law that applies.
